1. Acceptance of terms

By accessing or using https://topsolarservices.com (the "Site"), creating an account, submitting a lead, or posting a review, you agree to these Terms of Service (the "Terms") and our Privacy Policy. If you do not agree, do not use the Site.

2. Eligibility

The Site is intended for users 18 years of age or older. By using the Site, you represent that you are at least 18 and have the legal capacity to enter into these Terms. If you are using the Site on behalf of a company, you represent you have authority to bind that company.

3. Our service

Top Solar Services is an online directory and lead-matching platform. We help homeowners and businesses find and compare solar contractors and, when you request it, forward your project details to contractors in your area. We are not a solar installer, we do not perform solar work, and we are not a party to any contract between you and a contractor.

4. Account registration (contractors)

To list a company, you must create an account using accurate, current, and complete information. You are responsible for all activity that occurs under your credentials and for maintaining the confidentiality of your password. Notify us immediately of any unauthorized access.

5. Listings and content

• Contractors are responsible for the accuracy of their listings, including services, licensing, insurance, pricing claims, and portfolio content.
• We may verify, moderate, suspend, or remove listings that violate these Terms, misrepresent qualifications, or contain prohibited content.
• You grant Top Solar Services a worldwide, non-exclusive, royalty-free license to host, display, reproduce, and distribute content you submit to the Site for the purpose of operating the Site.

6. Reviews

Reviews must reflect your genuine, first-hand experience with a contractor. You must not:

• Submit reviews in exchange for payment, free services, or other incentives without clearly disclosing the arrangement.
• Submit reviews about your own company, a competitor, or a business in which you have an undisclosed material interest.
• Include personal attacks, threats, defamatory statements, or information that identifies individuals without consent.

We verify reviews through a human-led process and may delay, edit, or reject reviews that fail verification. Reviews represent the opinion of the reviewer, not Top Solar Services.

7. Lead matching

When you submit a Get Matched or contact form, you consent to have the information forwarded to vetted contractors in your service area so they can contact you about your project. Matched contractors may reach out by phone, SMS, or email. You can opt out of further contact by informing the contractor directly or emailing info@topsolarservices.com.

8. Contractor subscription tiers

Contractors may list for free or purchase a Verified ($99/month) or Premier ($299/month) subscription. Subscriptions renew automatically each month until cancelled. You may cancel at any time in your dashboard or by contacting us; cancellations take effect at the end of the current billing period. Fees paid are non-refundable except where required by law.

9. Acceptable use

You agree not to:

• Use the Site for any unlawful purpose or in violation of these Terms.
• Attempt to gain unauthorized access to accounts, servers, or data.
• Scrape, crawl, or harvest data except through a publicly documented API or with our prior written consent.
• Submit malicious code, spam, or automated form submissions.
• Impersonate any person or entity, or misrepresent your affiliation.
• Interfere with or disrupt the integrity or performance of the Site.

10. Intellectual property

The Site — including its design, logos, text, graphics, and software — is owned by Top Solar Services or our licensors and is protected by copyright, trademark, and other laws. You may not copy, modify, distribute, or create derivative works except as expressly permitted in these Terms or with our written consent.

11. No endorsement or warranty by Top Solar Services

Listings, ratings, and reviews are provided for informational purposes. We do not guarantee the quality, safety, licensing, insurance, pricing, or availability of any contractor. Before hiring, you are responsible for verifying a contractor's license, insurance, and references through the applicable state and local authorities.

THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOP SOLAR SERVICES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SITE.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE SITE WILL NOT EXCEED THE GREATER OF (a) $100 USD OR (b) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM.

Nothing in these Terms excludes liability for fraud, personal injury caused by negligence, or any liability that cannot be excluded by law.

13. Indemnification

You agree to defend, indemnify, and hold harmless Top Solar Services and its officers, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of your content, your use of the Site, or your breach of these Terms.

14. Third-party links

The Site may contain links to third-party websites, including contractor websites. We do not control and are not responsible for third-party content, policies, or practices. Visiting third-party sites is at your own risk.

15. Termination

We may suspend or terminate your access to the Site at any time, without notice, for any reason including breach of these Terms. Upon termination, your right to use the Site ceases immediately. Sections intended to survive termination (including Intellectual Property, Limitation of Liability, Indemnification, Governing Law) will survive.

16. Dispute resolution — arbitration and class waiver

Except for small-claims court matters and disputes involving intellectual property, any dispute arising out of or relating to these Terms or the Site will be resolved by binding, individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. Arbitration will take place in the county of your residence (for U.S. users) or, for users outside the U.S., in New York, New York. You and Top Solar Services each waive the right to a jury trial and to participate in a class action.

You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing info@topsolarservices.com with the subject "Arbitration Opt-Out" and your name and account email.

17. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules. For disputes not subject to arbitration, you and Top Solar Services submit to the exclusive jurisdiction of the state and federal courts located in New Castle County, Delaware.

18. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you via the Site or email. Your continued use of the Site after the effective date of the updated Terms constitutes acceptance.
